Terms of Service

These Terms of Service ("Terms") govern your use of georgiaregisteredagent.co (the "Site") and the registered agent services ("Services") offered by Georgia Registered Agent.co ("we," "us," or "our"). By using the Site or enrolling in Services, you accept these Terms in full.

1. Description of Services

Georgia Registered Agent.co provides:

• A physical registered agent address in Georgia for your business entity filings
• Acceptance of service of process and legal documents during business hours
• Same-day scanning and electronic forwarding of received documents
• Compliance deadline reminders for Georgia annual registration and related filings
• Access to a secure online document portal

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of the business entity you are registering. You agree to provide truthful, accurate information during enrollment.

3. Pricing and Payment

• Service fee: $99 per year
• Payment is due at enrollment and upon each annual renewal
• We accept major credit cards and other methods indicated on the Site
• If a renewal payment fails, we will notify you and may suspend Services until payment is received
• Pricing may change with at least 30 days' written notice before your renewal date

4. Service Term

Your service begins on the enrollment date and continues for one year. It renews automatically unless you cancel before your renewal date. Upon renewal, the then-current annual fee applies.

5. Your Obligations

You agree to:

• Provide accurate, current business entity information
• Notify us promptly if your entity name, contact details, or status change
• Retrieve forwarded documents and act on them in a timely manner
• Maintain your entity's good standing with the Georgia Secretary of State (filing annual registrations, paying state fees, etc.)
• Designate us properly with the state as your registered agent

6. Document Handling

• We accept documents delivered to your registered address during standard business hours (Monday through Friday, 9 AM to 5 PM ET, excluding state holidays)
• Documents are scanned and forwarded electronically on the same business day when received during business hours
• We are not responsible for the content, accuracy, or legal consequences of any documents we receive or forward
• Physical documents are retained for a reasonable period and then securely destroyed

7. What We Are Not

Georgia Registered Agent.co is not a law firm, accounting firm, or financial advisor. We do not provide legal advice, tax guidance, or business formation counsel. Our Services are limited to the registered agent functions described in these Terms. Consult a licensed professional for legal or tax matters.

8. Limitation of Liability

To the fullest extent permitted by law:

• Our aggregate liability for any claims related to the Services shall not exceed the total fees you paid us in the 12 months before the claim arose
• We are not liable for indirect, incidental, consequential, special, or punitive damages
• We are not liable for missed deadlines or legal consequences resulting from your failure to retrieve or act on forwarded documents
• We are not liable for delays caused by events outside our reasonable control (mail carrier delays, natural disasters, government shutdowns, etc.)

9. Indemnification

You agree to defend, indemnify, and hold harmless Georgia Registered Agent.co, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services, your violation of these Terms, or any third-party claim related to your business entity.

10. Cancellation

• You may cancel at any time by emailing support@georgiaregisteredagent.co
• Cancellation takes effect at the end of your current paid term
• No partial refunds are issued for unused portions of a service term unless we determine otherwise at our discretion
• Upon cancellation, you must designate a replacement registered agent with the Georgia Secretary of State

11. Suspension and Termination

We may suspend or terminate your Services if:

• Payment is not received after reasonable notice
• You provide materially false information
• Your use of Services violates applicable law
• Continuing service would expose us to legal liability

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia. Any disputes will be resolved in courts located in Georgia. You consent to personal jurisdiction in those courts.

13. Modifications

We may revise these Terms at any time. Updated Terms will be posted on this page with a new effective date. Continued use of the Site or Services after posting constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.

15. Entire Agreement

These Terms and our Privacy Policy represent the complete agreement between you and Georgia Registered Agent.co regarding the Services described herein.
