Changing Registered Agents in Georgia

Go hunting for Georgia's change-of-registered-agent form and you will come up empty. It does not exist. Georgia is one of the few states with no standalone statement-of-change filing; the swap happens inside filings you already know. Form CD 920, $30, any month of the year. Outside the window (or after this year's registration is already in), the vehicle is the Amended Annual Registration for LLC, official form number CD 920. The state charges $30, and you can file it through eCorp or on paper using the official CD 920 template. It goes to the Georgia Secretary of State, Corporations Division.

Quick decision rule: if it is between January 1 and April 1 and you have not filed yet, ride the annual registration. Any other time, CD 920 for $30.

Who Qualifies as the Replacement

O.C.G.A. § 14-11-209 draws the eligibility lines. Your new agent can be:

  • A Georgia resident individual
  • A domestic corporation
  • Another domestic LLC (yes, really; older guides claiming Georgia bars LLCs from the role are wrong, and the SOS FAQ says so)
  • A foreign corporation or foreign LLC holding a Georgia certificate of authority

Two hard limits: your company cannot appoint itself, and the registered office must be a real Georgia street address matching the agent's business office. PO boxes and mail drops are rejected.

  2. Check the calendar. In the January-to-April window with your registration still unfiled? Make the change on the annual registration ($60 you owe regardless). Otherwise, grab Form CD 920 ($30).
